INTRODUCTION

The Board of Directors of Freight Management Holdings Bhd (“FMHB” or “the Company”) wishes to announce that the Company has on 8 May 2017, acquired the entire issued and paid-up capital of Parcel To Post Services Sdn. Bhd. (“PTPS”) comprising one (1) share for a cash consideration of RM1.00. Following the Acquisition, PTPS will be a wholly-owned subsidiary of the Company.

INFORMATION OF PTPS

PTPS is a company incorporated on 29 March 2017 and is currently dormant. The intended principal activity of PTSP is to carry out last mile delivery services.

FINANCIAL EFFECTS OF THE ACQUISITION

The Acquisition will not have any effect on the Group’s earnings, net assets and gearing for the financial year ending 30 June 2017.

APPROVAL REQUIRED

The Acquisition does not require the approval of the shareholders of the Company.

INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND PERSON CONNECTED

None of the directors and/or major shareholders and/or persons connected with a director or major shareholder of FMHB has any interest, direct and/or indirect in the Acquisition.

DIRECTORS’ STATEMENT

The Acquisition is in line with the Group’s expansion needs.
